Terms & Conditions
1. Scope of Application
These Terms and Conditions apply to all contracts between Vectoris Services LLC, Georgia, Tbilisi (hereinafter “Contractor”) and its customers (hereinafter “Client”).
Deviating or supplementary terms of the Client shall not apply unless expressly agreed in writing.
2. Subject of Services
The Contractor provides commercial back-office services, digital document management, and administrative support services for businesses.
Services include in particular:
- Digital receipt, organization, and structuring of business documents
- Setup and maintenance of digital folder and file structures
- Review of documents for completeness and order
- Preparatory activities for tax advisors, auditors, and management
- Internal overviews and organizational support
Only the Contractor’s own services are provided.
3. Exclusion and Delimitation of Services
The Contractor does not provide tax advice, legal advice, financial services, or payment services.
In particular, the Contractor does not:
- Accept or manage third-party funds
- Process payments or hold accounts for third parties
- Perform escrow or trust activities
- Manage rent payments or security deposits
Any legal or tax assessment of matters is expressly excluded from the contract.
4. Client’s Duties of Cooperation
The Client shall provide all documents, information, and access required for the performance of services completely, correctly, and in a timely manner.
Delays or additional effort resulting from incomplete or incorrect information shall not be the responsibility of the Contractor.
5. Remuneration
Remuneration is based on individual agreement (e.g., fixed fees, hourly rates, or service-based billing).
- All remuneration constitutes payment for the Contractor’s own services only
- A VAT identification number has not been issued at present
- Payments are due within the agreed payment period unless otherwise agreed
6. Liability
The Contractor shall be liable only for intent and gross negligence.
- In cases of slight negligence, liability shall be limited to breaches of essential contractual obligations and to foreseeable, typical damages
- Liability for indirect damages, consequential damages, or loss of profit is excluded to the extent permitted by law
- The Contractor shall not be liable for decisions or actions taken by the Client or third parties based on the prepared documents
7. Confidentiality and Data Protection
All information obtained in the course of cooperation shall be treated confidentially.
Personal data is processed exclusively in accordance with applicable data-protection regulations. Further details are set out in the Privacy Policy.
8. Contract Term and Termination
The contract term results from the individual agreement.
Unless otherwise agreed, contracts may be terminated by either party with reasonable notice. The right to extraordinary termination for cause remains unaffected.
9. Final Provisions
- Amendments or supplements to these Terms and Conditions require text form
- Should any provision of these Terms and Conditions be invalid or unenforceable, the remaining provisions shall remain unaffected
- The law of the country of the Contractor’s registered office shall apply, insofar as legally permissible
- Place of jurisdiction shall be the registered office of the Contractor, insofar as legally permissible
